We are SodPEN (“Company,” “we,” “us,” “our”) (a company duly registered in accordance with the laws of Hong Kong Special Administrative Region (“Hong Kong”)).

We operate the official website, as well as any other related products and services that refer or link to these Legal Terms (collectively, the “Services”). Our core Service consists of providing initial draft writing services for academic papers (“Paper Draft Services”) as described in detail in the “OUR SERVICES” section.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and SodPEN, concerning your access to and use of the Services. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

The Services are intended for users who are at least 16 years of age. All users who are minors (under the age of 18) must have the written consent of their parent or legal guardian to use the Services.

OUR SERVICES

Core Service Description

The primary Service provided by SodPEN is Paper Draft Services—we create initial drafts of academic papers (including essays, research papers, dissertations, and other academic writings) based on the requirements, guidelines, and materials you provide. The Paper Draft Services are for reference and drafting purposes only; you are solely responsible for revising, editing, and verifying the draft to ensure compliance with your educational institution's policies, academic integrity standards, and any applicable laws or regulations.

Limitations on Paper Draft Services

• We reserve the right to refuse to provide Paper Draft Services for topics that are illegal, unethical, discriminatory, or in violation of public order and good morals.
• The Paper Draft Services do not include plagiarism checking, final editing, or guarantee of acceptance by any educational institution.
• We do not store completed paper drafts beyond 90 days from delivery, unless required by law or with your explicit consent.

INTELLECTUAL PROPERTY RIGHTS

Our Intellectual Property

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, and the methodology used to provide Paper Draft Services (collectively, the “Content”), as well as the trademarks, service marks, and logos contained therein.

Your Use of Our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and use the paper draft delivered to you for your personal academic reference and revision purposes only.

Except as set out in this section or elsewhere in these Legal Terms, no part of the Services, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Your Submissions

By sending us any question, comment, suggestion, idea, feedback, or academic materials related to the Services (“Submissions”), you agree to assign to us all intellectual property rights in any Submissions that are incorporated into the paper draft (except for your original research data, which remains your property).

USER REPRESENTATIONS

By using the Services (including Paper Draft Services), you represent and warrant that:

1. All registration information you submit is true, accurate, current, and complete;
2. You have the legal capacity to enter into these Legal Terms and will comply with them;
3. You are not under the age of 16;
4. If you are a minor (under 18 years old), you have obtained written consent from your parent or legal guardian;
5. You will not access the Services through automated or non-human means (e.g., bots, scripts) without our prior written permission;
6. You will not use the Services for any illegal or unauthorized purpose, including but not limited to plagiarism or academic fraud;
7. You will use the paper draft solely for reference and revision, and will not submit the draft as your own work without proper revision and verification.

USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username if we determine, in our sole discretion, that it is inappropriate, obscene, violates third-party rights, or is associated with fraudulent activity.

PURCHASES AND PAYMENTS

Payment Method

We exclusively accept payments through Airwallex (空中云汇)—a licensed payment service provider. By initiating a purchase, you agree to comply with Airwallex's terms of service and privacy policy. We are not responsible for any issues arising from Airwallex's services, but we will cooperate with you to resolve such issues to the extent reasonably possible.

Payment Terms

You agree to provide current, complete, and accurate purchase and account information for all purchases. We may change prices for Paper Draft Services at any time, but such changes will not affect orders already placed. We reserve the right to refuse any order, limit or cancel quantities, and prohibit orders deemed to be fraudulent or in violation of these Legal Terms.

SUBSCRIPTIONS

Billing and Renewal

Your subscription will continue and automatically renew unless canceled. You consent to our charging your Airwallex account on a recurring basis without requiring prior approval for each charge, until you cancel the subscription. You may cancel your subscription at any time by notifying us via email at tyi518704@gmail.com, and cancellation will take effect at the end of the current billing cycle.

Fee Changes

We may change subscription fees from time to time. We will provide at least 30 days' written notice of any fee change via your registered email address. Continued use of the Services after the fee change takes effect constitutes acceptance of the new fees.

PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make them available. As a user of the Services, you agree not to:

• Systematically retrieve data or content from the Services to create a collection, compilation, database, or directory without our written permission;
• Trick, defraud, or mislead us or other users, especially to obtain sensitive account information or free Paper Draft Services;
• Circumvent, disable, or interfere with security features of the Services;
• Use information from the Services to harass, abuse, or harm another person;
• Upload or transmit viruses, Trojan horses, or other harmful material;
• Use automated systems to access the Services without permission;
• Impersonate another user or person;
• Decipher, decompile, disassemble, or reverse engineer the Services' software;
• Submit the paper draft as your own work without proper revision or compliance with academic integrity standards; or
• Request paper drafts for topics that promote violence, hate speech, or discrimination.

PRIVACY POLICY

Please review our Privacy Policy at /privacy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.

TERM AND TERMINATION

These Legal Terms remain in full force and effect while you use the Services. We reserve the right, in our sole discretion and without notice or liability, to deny access to or use of the Services to any person for any reason. We may terminate your use of the Services, delete your account, and remove your content at any time, without warning, in our sole discretion.

MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time, in our sole discretion. We cannot guarantee the Services will be available at all times. Hardware, software, or maintenance issues may cause interruptions, delays, or errors in delivering Paper Draft Services.

GOVERNING LAW

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, excluding its conflict of law principles.

DISPUTE RESOLUTION

Informal Negotiations

To resolve any dispute, controversy, or claim related to these Legal Terms efficiently, the parties agree to first attempt to negotiate informally for at least 30 days before initiating formal proceedings.

Arbitration

If informal negotiations fail, disputes will be finally and exclusively resolved by binding arbitration conducted in Hong Kong, under the Rules of Arbitration of the HKIAC. The award shall be final and binding on both parties.

No Class Actions

All Disputes shall be resolved on an individual basis. There is no right to arbitrate or litigate Disputes on a class-action basis.

DISCLAIMER

THE SERVICES (INCLUDING PAPER DRAFT SERVICES) ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF ACADEMIC OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER SHALL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU TO US FOR THE SPECIFIC PAPER DRAFT SERVICE THAT GAVE RISE TO THE LIABILITY, OR HKD 1,000 (WHICHEVER IS HIGHER).

INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless (including our subsidiaries, affiliates, officers, agents, partners, and employees) from and against any loss, damage, liability, claim, or demand made by any third party due to or arising out of your use of the Services, breach of these Legal Terms, or violation of third-party rights.
